V4 Financial Partners advises Amara and its shareholders on the configuration, with ProA Capital, of a transaction to enhance the growth of the company and materialize its value
V4 Financial Partners has advised Amara and its shareholders in the exploration, design, negotiation and execution of a transaction with the funds managed by ProA Capital (ProA), which will allow the company to strengthen its capabilities and financial resources in order to achieve its objectives in the short, medium and long term.
Founded 60 years ago, Amara Group is a Spanish company, with subsidiaries in 15 countries located in Europe, the United States and Latin America, focused on the specialized distribution of electrical and technical material for sectors such as renewable energy (solar and wind), energy efficiency and the electricity sector in general, telecommunications and others, as well as on the provision of value-added services around said distribution.
After the acquisition of Amara Group to Iberdrola, in 2017, by a group of private investors, led by Mr. Pablo Arnús, the company undertook a successful organic and inorganic growth project, which meant the beginning of the advice of V4 Financial Partners through the identification and analysis of diverse acquisition opportunities in different markets, and the evaluation of strategic development and financing alternatives for the company.
In this context, the executed transaction with ProA has been the alternative selected by the company and its shareholders to strengthen the company financially and institutionally; it has been a tailored transaction structured to suit the objectives and needs of Amara and its shareholders, as well as ProA’s as an investor.
The management team will continue being led by Mr. Pablo Arnús as Executive Chairman of the Group and will maintain a significant percentage of the shareholding. It has also been reinforced by the incorporation of Mr. Gonzalo Errejón, who, with an extensive multinational experience in the sector, recently joined the project as Managing Director as well as its shareholding.
